Confidentiality & Non-Disclosure Agreement

1. Purpose

This Confidentiality and Non-Disclosure Agreement ("NDA") governs the handling of confidential information accessed through The Resident Hub ("Platform"). By creating an account, you acknowledge and agree to the terms below.

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• Internal educational materials, curriculum content, quizzes, and assessments
• Clinical pearls, case discussions, and medical reference content
• Proprietary platform features, algorithms, and methodologies
• Resident performance data, scores, and progress metrics
• Internal communications, forum discussions, and shift scheduling data
• Any institutional information shared through the Platform

3. Obligations

As a user of the Platform, you agree to:

• Keep all Confidential Information strictly confidential
• Not disclose, distribute, copy, or reproduce any Platform content to unauthorized individuals or external platforms
• Not share login credentials or allow unauthorized access to your account
• Not screenshot, record, or extract content for distribution outside the Platform
• Use Confidential Information solely for authorized educational and clinical purposes
• Report any unauthorized disclosure or security breach to the Platform administrator immediately

4. Exceptions

This NDA does not apply to information that:

• Is publicly available through no fault of the recipient
• Was already known to the recipient prior to disclosure
• Is required to be disclosed by law or institutional policy

5. Duration

This NDA remains in effect for the duration of your access to the Platform and for a period of two (2) years following the termination or deactivation of your account.

6. Consequences of Breach

Violation of this agreement may result in immediate account suspension or termination, reporting to institutional leadership, and any additional remedies available under applicable law.

7. Governing Law

This Agreement shall be governed by the laws of the State of Florida.
